This website (the “Site”) is operated by Absolute Balance Acupuncture Clinic (“ABA,” “we,” “us,” or “our”). Throughout the Site, the terms “we,” “us,” and “our” refer to ABA and the Site located at https://acupuncturenynj.com (collectively, the “Sites”).
By visiting the Sites and/or using any information, tools, products, or services made available through them (collectively, the “Services”), you agree to be bound by these Terms & Conditions (the “Terms”), including any additional terms, policies, and notices referenced here or available by hyperlink (including our Privacy Policy). If you do not agree to all of the Terms, do not access or use the Sites or Services.
We may add new features or tools to the Sites; such additions are subject to these Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update or replace any part of the Terms by posting updates to the Sites. Your continued use of the Sites after changes are posted constitutes acceptance of those changes.
1) License to Use; Eligibility
We grant you a limited, nonexclusive, nontransferable license to access and use the Sites and the Services for your personal, noncommercial, educational use only, subject to these Terms. The Sites are available only to individuals who can form legally binding contracts under applicable law.
You are responsible for safeguarding any login credentials associated with your use of the Sites and for all activities that occur under your credentials.

- Use the Sites for any unlawful, unauthorized, or reckless purpose (including use while driving or performing activities requiring attention to safety).
You agree to promptly notify ABA of any unauthorized use of your account or the Services.
3) Accuracy, Completeness & Timeliness of Information (Medical Disclaimer)
Content on the Sites is provided for general informational and educational purposes only. It is not medical advice, diagnosis, or treatment, and does not substitute for professional medical judgment. Do not delay seeking professional medical advice because of something you have read on the Sites.
We are not responsible if information on the Sites is inaccurate, incomplete, or not current. Historical information is provided for reference only. We may modify the contents of the Sites at any time, with no obligation to update information. Your reliance on Site materials is at your own risk.
4) Changes to These Terms
ABA may amend or modify these Terms at any time by posting the revised Terms on the Sites. If you object to any changes, your sole remedy is to stop using the Sites and Services. Continued use indicates your acceptance of the revised Terms.
5) Intellectual Property; Trademarks & Copyright
All text, design, structure, selection, coordination, expression, “look and feel,” interfaces, images, graphics, photographs, videos, audio, data, software, and other materials on the Sites, and all trademarks, service marks, trade names, and logos displayed (collectively, the “Content”), are owned by or licensed to ABA or its licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, reproduce, publish, distribute, modify, create derivative works from, display, perform, license, or otherwise exploit the Content without our prior written consent. You must not remove or alter any proprietary notices on the Content.
Where specifically permitted (e.g., a “download” link we provide), you may download materials for personal, educational, noncommercial use, provided all copyright and proprietary notices remain intact.
6) User Content; Comments, Feedback & Submissions
If you submit comments, reviews, testimonials, ideas, suggestions, proposals, plans, images, or other materials (collectively, “User Content”) to us—whether via the Sites, email, mail, social media, or otherwise—you grant ABA a nonexclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform such User Content in any media, for any lawful purpose. We have no obligation to: (a) keep User Content confidential; (b) compensate you for User Content; or (c) respond to User Content.
You represent and warrant that your User Content will not violate any third-party rights (including privacy, publicity, copyright, trademark), will not be unlawful, abusive, defamatory, obscene, or otherwise objectionable, and will not contain malware. You are solely responsible for your User Content and its accuracy. We may monitor, edit, or remove content in our sole discretion but have no obligation to do so.

The Sites may contain links to third-party websites, resources, software, or services not affiliated with ABA. We do not control and are not responsible for the content, accuracy, policies, or practices of third-party sites. Inclusion of a link or advertisement does not imply endorsement. Your dealings with third parties are solely between you and those third parties, and you assume all risk arising from such dealings.

Your submission of personal information through the Sites is governed by our Privacy Policy (incorporated by reference). Please review it to understand our practices.
9) Errors, Inaccuracies & Omissions
Information on the Sites may contain typographical errors, inaccuracies, or omissions (including descriptions, availability, or other content). We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

11) Disclaimer of Warranties
YOUR USE OF THE SITES AND SERVICES IS AT YOUR SOLE RISK. THE SITES AND ALL CONTENT AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ABA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF MALWARE; OR THAT INFORMATION WILL BE ACCURATE, RELIABLE, OR CURRENT. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED FROM ABA CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow exclusion of implied warranties; to the extent required by law, such exclusions may not apply to you.
12) Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ABA AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITES OR SERVICES; ANY THIRD-PARTY CONTENT; OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL ABA’S AGGREGATE LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS (US $100) OR THE AMOUNT YOU PAID (IF ANY) TO ABA FOR SERVICES THROUGH THE SITES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM—WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; where prohibited by law, these limitations apply to the minimum extent permitted.
13) Indemnification
You agree to indemnify, defend, and hold harmless ABA and its owners, directors, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Sites or Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.
14) Termination & Suspension
We may suspend or terminate your access to the Sites or Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason. We will not be liable for any termination of your access. You may discontinue use of the Sites at any time. Sections that by their nature should survive termination (including, without limitation, IP, disclaimers, limitations of liability, indemnity, and governing law) survive termination.
15) Social Media & Community Guidelines
ABA may host or participate in social media pages or interactive areas. Content posted by others should not be construed as our endorsement. We may remove content for any reason. By posting user-generated content, you grant ABA the license described in Section 6 and acknowledge such content may be public.
16) Use Outside the United States
ABA makes no claims regarding access to or use of the Sites or Content outside the United States. If you access the Sites from outside the U.S., you do so at your own risk and are responsible for compliance with your local laws.
17) Governing Law; Venue
These Terms, the Sites, and your use of the Services are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. Exclusive venue for any dispute arising out of or related to the Sites, Services, or these Terms will be in the state or federal courts located in Bergen County, New Jersey, and you consent to personal jurisdiction there.
18) Entire Agreement; Assignment; Waiver; Severability; Construction
These Terms (together with the Privacy Policy and any other policies referenced herein) constitute the entire agreement between you and ABA regarding the Sites and Services and supersede all prior or contemporaneous communications. You may not assign any rights or obligations under these Terms without our prior written consent; we may assign these Terms without restriction. Our failure to enforce any provision is not a waiver. If any provision is held invalid or unenforceable, it will be replaced with a valid provision that most closely reflects the parties’ original intent, and the remaining provisions will remain in full force and effect. The rule of construction against the drafter does not apply.
19) Modifications & Amendments
We may modify or amend these Terms at any time by posting the updated Terms on the Sites. Modifications are effective upon posting. Your continued use constitutes acceptance. Except as stated here, amendments must be in a writing signed by the party to be bound.
20) Attorney’s Fees
If ABA is required to take legal action to enforce these Terms and prevails in whole or in part, ABA is entitled to recover its reasonable attorneys’ fees and costs to the fullest extent permitted by law.
